Terms and Conditions

General Terms and Conditions and Customer Information

I. General

Terms and Conditions § 1 Basic Provisions

(1) The following terms and conditions apply to contracts that you enter into with us as the provider (Raffaele Pichierri) via the website www.brow-henna-deutschland.de or via other means of distance communication, unless a modification is agreed in writing between the parties. Any deviating or conflicting terms and conditions shall only be valid with our express consent.

(2) We offer our products for sale and our courses for booking only if you are a natural or legal person, or a partnership with legal capacity, acting in the course of your commercial or self-employed professional activity at the time of concluding the legal transaction (business customer). The conclusion of a contract with consumers is excluded.

§ 2 Formation of the contract for goods

(1) The subject matter of the contract is the sale of goods. The essential characteristics of the goods are set out in the relevant offer.

(2) Simply by listing the relevant product on our website, we are making you a binding offer to conclude a contract via the online shopping basket system on the terms set out in the relevant offer.

(3) The contract is concluded via the online shopping basket system as follows:
The goods you intend to purchase are placed in the ‘shopping basket’. You can access the ‘shopping basket’ via the relevant button in the navigation bar and make changes there at any time.
After clicking the ‘Checkout’ or ‘Proceed to Order’ button (or similar label) and entering your personal details as well as the payment and delivery terms, the order details will finally be displayed to you as an order summary.

If you choose an instant payment system (e.g. PayPal (Express/Plus/Checkout), Amazon Pay, Sofort, giropay), you will either be directed to the order summary page in our online shop or redirected to the website of the instant payment system provider.
If you are redirected to the relevant instant payment system, please make the appropriate selection or enter your details there. Finally, the order details will be displayed as an order summary on the website of the instant payment system provider or after you have been redirected back to our online shop.

Before submitting your order, you have the option to check the details in the order summary once more, make changes (including via your web browser’s ‘back’ function) or cancel the order. By submitting the order via the relevant button, you are legally bindingly accepting the offer, thereby concluding the contract.

(4) You may also submit a binding contractual offer (order) via means of distance communication (e.g. by telephone, email or post).

Acceptance of the offer (and thus the conclusion of the contract) takes place immediately in the case of orders placed by telephone, or at the latest within 5 days by means of a written confirmation (e.g. by email), in which the fulfilment of the order or delivery of the goods is confirmed to you (order confirmation).

Should you not have received such a message within this period, you are no longer bound by your order. Any payments already made will be refunded immediately in this case.

(5) Upon request, we will draw up a personalised quotation for you, which will be sent to you in writing and to which we are bound for 5 days (unless a different period is specified in the relevant quotation). You accept the quotation by providing written confirmation.

(6) The processing of the order and the transmission of all information required in connection with the conclusion of the contract are carried out partly automatically via email. You must therefore ensure that the email address you have provided to us is correct, that the receipt of emails is technically guaranteed and, in particular, that it is not blocked by spam filters.

§ 3 Customised goods

(1) You shall provide us with the appropriate information, texts or files required for the customisation of the goods via the online ordering system, together with your enquiry, or at the latest immediately after the conclusion of the contract by email. Any specifications we may have regarding file formats must be observed.

(2) You undertake not to transmit any data whose content infringes the rights of third parties (in particular copyright, rights to a name and trade mark rights) or contravenes applicable laws. You expressly indemnify us against all claims by third parties asserted in this connection. This also applies to the costs of any legal representation required in this connection.

(3) We do not check the submitted data for accuracy of content and accept no liability for errors in this respect.

(4) Where specified in the relevant quotation, we will send you a proof for correction, which you must check without delay. If you agree with the draft, you must approve the proof for production by countersigning it in writing (e.g. by email).
The design work will not be carried out without your approval.
You are responsible for checking the proof for accuracy and completeness and for notifying us of any errors. We accept no liability for errors that have not been reported.

§ 4 Formation of the contract for courses

(1) The subject matter of the contract is the delivery of courses. The key features of the courses are set out in the relevant offer.

(2) Our offers on the internet are non-binding and do not constitute a binding offer to conclude a contract.

(2) You may submit a binding offer to conclude a contract (booking) via means of distance communication (e.g. by telephone, email or post).

Acceptance of the offer (and thus the conclusion of the contract) takes place immediately upon booking by telephone or, at the latest, within 5 days by means of a booking confirmation in writing (e.g. by email).

Should you not have received such a message within this period, you are no longer bound by your booking. Any services already provided will be refunded immediately in this case.

(2) Upon request, we will draw up a personalised quotation for you, which will be sent to you in writing and to which we are bound for 5 days (unless a different period is specified in the relevant quotation). You accept the quotation by providing confirmation in writing.

(3) The processing of the booking and the transmission of all information required in connection with the conclusion of the contract are carried out partly automatically via email. You must therefore ensure that the email address you have provided to us is correct, that receipt of emails is technically guaranteed and, in particular, that it is not blocked by spam filters.

§ 5 Provision of Services for Courses

(1) The courses shall be held in the form described in the respective offers on the agreed dates.

(2) Where the running of the courses depends on the number of participants, the minimum number of participants is specified in the respective offer.
If the minimum number of participants is not reached, we shall inform you in writing (e.g. by email) no later than 7 days before the course begins that the booked course will not take place. In this case, any fees already paid shall be refunded without delay.

(3) In the event of the cancellation of a course consisting of a single session due to the course leader’s last-minute absence through illness or for any other valid reason, any fees already paid will be refunded without delay.
For courses comprising several sessions, if a session is cancelled due to the course leader’s last-minute absence through illness or for any other valid reason, the cancelled session will be rescheduled for an alternative date.

(4) When using course rooms and premises, you must comply with the house rules displayed on site. You must follow our instructions or those of the course leader.

(4) Where special conditions of participation apply, these will be set out in the relevant course description.
The special conditions of participation apply in addition to these General Terms and Conditions / Customer Information.
If the special conditions of participation contain provisions that differ in content from these General Terms and Conditions / Customer Information, the provisions of the special conditions of participation shall apply exclusively in this respect.

§ 6 Substitute participants

You may name a substitute participant at any time before the course begins. You will not incur any costs for this rebooking.

  • 7 Prices, Terms of Payment and Delivery Charges

    (1) The prices and delivery charges stated in the relevant offers are net prices. They do not include statutory value added tax.

    (2) The applicable delivery charges are not included in the purchase price of the goods; they are charged separately, unless free delivery has been promised. Further details can be found under a button labelled accordingly on our website or in the relevant offer.

    (3) If delivery is made to countries outside the European Union, additional costs beyond our control may arise, such as customs duties, taxes or money transfer fees (bank transfer or exchange rate charges levied by financial institutions), which are to be borne by you.

    (4) Any costs incurred in connection with the money transfer (bank transfer or exchange rate charges levied by financial institutions) shall be borne by you in cases where the delivery is made to an EU Member State but the payment was initiated from outside the European Union.

    (5) You may choose from the payment options shown under a correspondingly labelled button on our website or in the relevant offer.

Unless a different payment deadline is specified for the individual payment methods or on the invoice, payment claims arising from the concluded contract are due immediately.

Discounts may only be deducted if this is expressly stated in the relevant offer or on the invoice.

§ 8 Delivery Terms for Goods

(1) The estimated delivery time is specified in the relevant offer. Delivery dates and delivery periods are only binding if they have been confirmed by us in writing.

If payment is made in advance by bank transfer, the goods will only be dispatched once we have received the full purchase price and the delivery charges.

(2) Should a product you have ordered, contrary to expectations and despite the timely conclusion of an adequate hedging transaction, be unavailable for a reason for which we are not responsible, you will be informed immediately of the unavailability and, in the event of withdrawal, any payments already made will be refunded without delay.

(3) Dispatch is at your risk. If you so wish, the goods may be dispatched with appropriate transport insurance, in which case you shall bear the resulting costs.

(4) Partial deliveries are permitted and may be invoiced by us separately, provided that this does not result in you being charged additional delivery costs.

§ 9 Warranty

(1) The warranty period is one year from the date of delivery of the goods. This reduction in the warranty period does not apply

:- to damage attributable to us arising from injury to life, limb or health, or to other damage caused intentionally or through gross negligence;
- where we have fraudulently concealed the defect or have given a guarantee as to the quality of the goods;
- in the case of goods which have been used in accordance with their normal intended use in a building and have caused its defectiveness;
- in the case of statutory rights of recourse which you have against us in connection with rights arising from defects.

(2) Only our own specifications and the manufacturer’s product description shall be deemed to have been agreed as the quality of the goods; other advertising, public promotions and statements by the manufacturer shall not be deemed to have been agreed.

(3) In the event of defects, we shall, at our discretion, fulfil our warranty obligations by rectifying the defect or supplying a replacement. If the rectification of the defect fails, you may, at your discretion, demand a reduction in price or withdraw from the contract. The rectification of the defect shall be deemed to have failed after a second unsuccessful attempt, unless the nature of the goods or the defect, or other circumstances, indicate otherwise. In the event of rectification, we shall not be required to bear any additional costs arising from the goods being transported to a location other than the place of performance, provided that such transport does not correspond to the intended use of the goods.

§ 10 Right of retention, retention of title

(1) You may only exercise a right of retention in so far as it relates to claims arising from the same contractual relationship.

(2) We reserve title to the goods until all claims arising from the ongoing business relationship have been settled in full. Pledging or transfer of ownership by way of security is not permitted prior to the transfer of title to the goods subject to retention of title.

(3) You may resell the goods in the ordinary course of business. In such cases, you hereby assign to us all claims arising from the resale in the amount of the invoice sum; we accept such assignment. You remain authorised to collect the claim. However, should you fail to meet your payment obligations properly, we reserve the right to collect the claim ourselves.

(4) In the event of combination or mixing of the goods subject to retention of title, we shall acquire co-ownership of the new item in the proportion of the invoice value of the goods subject to retention of title to the other processed items at the time of processing.

(5) We undertake to release the security to which you are entitled at your request to the extent that the realisable value of our security exceeds the claim to be secured by more than 10 per cent. The choice of which securities are to be released shall be at our discretion.

§ 11 Choice

of Law German law shall apply, to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
